What is a Confirmation Statement?

A Confirmation Statement is a document that limited companies are required to submit to Companies House each year to confirm that the company’s details are up to date and accurate.

 

What information is included in a Confirmation Statement?

A confirmation statement can include the limited company name, registered office address, director and shareholder details, a statement of capital and the company’s standard industrial classification (SIC) code.

 

Changes that can be made when filing a Confirmation Statement.

Updates filed in a confirmation statement can include changes to;

-          Directors / Shareholders details

-          People with significant control (PSC)

-          Statement of Capital

-          Registered office address

-          SIC Codes

 

How to file a Confirmation Statement.

To file the confirmation statement, you will need the Companies House authentication code.  This is a six digit mix of letters and numbers included in a letter from HMRC.

How often do I need to file a Confirmation Statement?

A confirmation statement must be filed at least once every year. You can find the date that your company’s confirmation statement is due online, on your Companies House company overview page.

The confirmation statement must be filed within 14 days of the statement due date.

If the statement is not filed within 14 days, then no late fees apply, however Companies House can apply to strike off the company.

In some cases where changes to the company have taken place during the year, more than one confirmation statement may be filed in a twelve month period.

 

Is there a cost to filing a Confirmation Statement?

There is a £34.00 annual fee to file the confirmation statement, payable to Companies House.

Further Information

It is important to be aware of any changes to the company throughout the year and consider if Companies House need to be updated.

You should also make a note of when the next confirmation statement is due to be filed. Your accountant may also do this.
